MASTER SERVICES AGREEMENT (intro)
This Master Services Agreement (“MSA”) is between Talents Into Profits, LLC. and YOUR NAME.
Where both individuals listed above state they have the authority to enter into this MSA on behalf of their respective entities and are doing so willfully.
WHEREAS, The PURPOSE of this MSA is to serve as both a proposal and an agreement in one. WHEREAS, TIP shall serve as the Client’s Chief Marketing Officer (CMO) with the intent of growing the client’s online visibility, branding, lead generation, and business through strategic marketing and business development services. TIP shall serve as an independent organization and shall not be seen as an individual within tax parameters, but as a service.
SECTION 1: PRICING, EXCLUSIVITY, AND NETWORK.
Territory Size. TIP’s CMO Services are priced based on the radius of your service area. For example, if you are willing to drive 15 miles to serve a customer, you would have a 30-mile radius. Our pricing tables below include service descriptions, and the checked box indicating your desired exclusive service area will be selected.
Territory Exclusivity. TIP never works with any of your direct competitors. When you sign on for a CMO service of 30, 60, or 90 miles, TIP will close off our services to any potential competitors.
Expanding Territories. At any time, you may request to increase or decrease your territory by emailing us at will@talentsintoprofits.com. However, your territory size remains the same until the term ends and the next term begins.
Network and Referrals. TIP will do everything possible to help build contractor networks and increase your monthly referrals whenever possible. In return, you may send us referrals to those contractors to help us manage their marketing and growth, and ensure that each contractor entity does not overstep into another territory's service rights.
SECTION 2: CMO SERVICES
CMO Services for Month 1.
- 30 miles: $999/mo
- 60 miles: $1,299 /mo
- 90 miles: $1,599 /mo
SEO-Optimized website Services. Customized and branded website with complete SEO optimization and content writing per page. Pages include: Home, About, Contact, Privacy, Terms, Gallery, 404. One page is allocated per residential service, one page per commercial service, and one page per city of service. Mobile, tablet, and desktop SEO optimized. Developed to increase traffic and generate local residential and commercial leads within the Client’s exclusive service area, chosen carefully. Annual website hosting, security, and compliance are included as part of the CMO program as long as we remain your CMO.
Local Marketing Optimization. Building or rebuilding 55+ online listings, social media profiles, hiring job sites, and additional citations to help increase local visibility and future lead generation. Responding to all reviews and disputing bad reviews is included.
Branding Kit. Complete branding or rebranding to help increase visibility, sales, and referrals. Includes three custom logos (white and black, color, and animated), one 8.5 brochure, one 3x5 door knocker, business card designs for all employees, designs for vehicle wrap, designs for shirts, and application of logo to all online profiles. All services are available; however, the full scope of services varies based on each customer.
CMO Services for Months 2 and 3.
- 30 miles: $999/mo
- 60 miles: $1,299 /mo
- 90 miles: $1,599 /mo
TIP shall complete online and digital marketing strategy, execution, reporting, and coaching to increase local lead generation, reviews, and referrals for the client’s core services within their designated exclusive service area. Services shall include but not limited to website SEO, website hosting, website security, website compliance, local map rankings, social media posting and management, video editing, paid advertising creation and management, local listings and citations, design and collateral completion per client requests, available via text or phone call for 5 minute updates, and one 45-minute call per month.
CMO Services Months 4 and Beyond.
- 30 miles: $1,499 /mo.
- 60 miles: $1,799 /mo.
- 90 miles: $ 1,999 /mo.
The client shall receive the same services, but at TIP’s full rate. Each new term will be a 3-month commitment. To avoid auto-renewal and the new rate, you must submit a cancellation notice to will@talentsintoprofits.com at least 10 calendar days before the start of this new term.
SECTION 3: PAYMENTS
All payments must be made in U.S. Dollars through TIP’s secure payment system and submitted on or before the invoice due date to prevent account suspension or late fees. Automatic payments are required starting in Month 2 via ACH for the discounted rate, and then again for the full rate starting in Month 4 and beyond.
SECTION 4: LATE FEES, SUSPENSIONS, TERMINATIONS
Any late invoices will incur a $50.00 fee every 15 days they remain unpaid. If the invoice remains unpaid for more than 30 days, your account and all associated services, including but not limited to website publishing and online security features, will be suspended. To reactivate any assets and services, you will be required to pay all outstanding invoices and late fees.
SECTION 5: WEBSITE TERMS
You own our website; however, TIP only builds and manages websites through the Duda website platform. Our CMO program includes website hosting, security, compliance, and unlimited revisions and new pages. You can elect to have TIP develop your website in your own Duda account or have it transferred to your own Duda account at any time. Transferring of websites can take 1-5 business days, and you will be responsible for any hosting, security, and compliance fees, as well as additional costs for website services from TIP if not enrolled in the CMO program.
SECTION 6: CMO TERM LENGTH
TIP’s CMO services always carry a 3-month term, whether at the initial discounted rate or the full rate. To cancel CMO services, you need only provide written notice to will@talentsintoprofits.com at least 10 days before the end of the current term.
SECTION 7: CLIENT RESPONSIBILITIES
There are things that TIP cannot do, which you, the Client, must agree to do alongside TIP’s coaching to achieve the best results. TIP offers onboarding and training videos, along with one-on-one coaching and marketing materials. Please read and initial below to confirm that you will perform these tasks to the best of your ability.

- I agree to grant TIP access to all physical marketing assets.
- I agree to ask for 5-star reviews online.
- I agree to provide job site photos and/or videos of job sites at least bi-weekly.
- I agree to provide business updates to TIP as they develop.

SECTION 8: ADDITIONAL TERMS AND PROTECTIONS
Agreement Amendments and Updates. Any updates to services, pricing, term length, or scope must be agreed to in writing by both parties and signed by both parties to be effective and enforceable.
Confidentiality. Both parties agree to maintain the confidentiality of all shared business strategies, documents, systems, and internal communications for a period of five (5) years following the termination of this agreement. Breaches must be reported within 72 hours.
Marketing. Client agrees to allow TIP to use their company’s name, online visibility, and monthly lead generation statistics on TIP’s online profiles and physical marketing.
Indemnification. You agree to defend, indemnify, and hold harmless TIP from any claims, legal actions, or damages related to content, access, or instructions you provide, including but not limited to copyright violations, inaccurate data, or third-party issues caused by your team, employees, vendors, or representatives.
Dispute Resolution and Governing Law. In the event of a dispute, both parties agree to attempt resolution through direct communication and good-faith mediation. If mediation fails, both parties waive their right to a jury trial and agree to resolve matters through a bench trial in Washoe County, in accordance with Nevada state law.
Intellectual Property and Deliverables. TIP stores all deliverables in secured folders for each Client. TIP retains full ownership of all deliverables, designs, and content until full payment is received. Once paid, ownership of all custom-built content is transferred to you, except any TIP-owned tools, templates, or frameworks used in the delivery process.
Service Interruptions and Force Majeure. TIP is not liable for service disruptions caused by third-party platforms (e.g., Google, Facebook, Instagram, Duda), or changes made directly by the Client or their team, or acts beyond TIP’s reasonable control. FURTHERMORE, neither party shall be responsible for delays or performance problems resulting from circumstances beyond their control, including platform outages, government restrictions, internet disruptions, weather events, strikes, or natural disasters.
Business Sale or Transfer. If you sell or transfer ownership of your business, you must notify TIP and pay any outstanding invoices before the new owner takes over. The new owner must sign a new agreement under their legal business name to continue services.
Termination for Cause. Either party may terminate this agreement immediately in cases of illegal activity, abusive communication, or reputational harm. Reputational harm includes public defamation, false statements, or behavior that damages TIP’s professional standing or ability to serve other clients.
No Guarantees or Promises. Marketing results depend on many factors outside TIP’s control, including your follow-through, customer engagement, and the market itself. TIP does not guarantee a specific number of leads, revenue, or ROI; it only ensures that TIP will perform to the best of its ability.
No Refunds. While TIP will apply best practices and proven strategies, marketing results are subject to variables beyond TIP’s control, including competition, market trends, client responsiveness, and platform changes. For this reason, all payments made to TIP are non-refundable once services have commenced, unless otherwise stated in writing.
SECTION 9: SIGNATURES
TIP looks forward to working closely with you for our mutual growth in the years to come. By signing this Agreement below, you agree to the terms outlined in this Master Services Agreement and confirm that TIP may commence work on the selected services.
